Terms & Conditions

2.1 Acceptance

These Terms & Conditions constitute a legally binding agreement between you and Deeplectual Technologies governing access to and use of the website, AI Agents Platform, applications, APIs, integrations and related Services. If you access the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you must not use the Services.

2.2 Accounts

Users must provide accurate information and protect account credentials. Customers are responsible for activity performed through their accounts and must promptly notify Deeplectual of suspected unauthorized access or security compromise. Deeplectual may require reasonable account, identity or organization verification for particular Services.

2.3 License

Subject to these Terms and applicable fees, Deeplectual grants a limited, non-exclusive, non-transferable and revocable right to access and use the Services during the applicable subscription period for legitimate internal business purposes. No ownership of the software or platform is transferred.

2.4 Customer Responsibilities

Customers are responsible for the legality, accuracy, quality and ownership of information submitted to the Services. Customers must ensure that they possess all necessary rights, permissions and notices required to process Customer Data, including information received from employees, customers, suppliers or other third parties.

2.5 Acceptable Use

Users must not use the Services for unlawful activity, unauthorized surveillance, infringement, fraud, malicious code, credential abuse, security attacks, service disruption, unauthorized access, circumvention of usage limits, reverse engineering or any activity that creates unreasonable risk to Deeplectual or other users. Customers must comply with applicable privacy, cybersecurity, intellectual-property and sector-specific requirements.

2.6 Customer Data

As between the parties, the customer retains ownership of Customer Data. Deeplectual receives only the rights reasonably necessary to host, process, transmit, reproduce technically and otherwise handle Customer Data to provide the Services and fulfil the customer’s instructions. Deeplectual retains ownership of its software, platform, models, interfaces, documentation, trademarks, methodologies and pre-existing intellectual property.

2.7 AI Agents

The platform may provide configurable AI agents capable of processing Customer Data and interacting with third-party systems. Customers are responsible for configuring permissions, instructions, workflows and approvals appropriately. AI agents should not be treated as autonomous substitutes for required professional or managerial judgment.

2.8 Third-Party Services

The Services may depend on external providers, including cloud infrastructure, payment services, AI model providers and customer-selected integrations. Deeplectual does not control the independent availability, security or policies of those providers. Changes or failures in third-party services may affect functionality.

2.9 Fees and Subscriptions

Paid Services are subject to the pricing, subscription period, usage limits and payment terms displayed at purchase or stated in an order form. Applicable taxes may be charged. Free, trial, promotional and beta features may have additional limitations and may be modified or discontinued.

2.10 Availability

Deeplectual will use reasonable efforts to maintain the Services but does not guarantee uninterrupted or error-free availability. Maintenance, upgrades, security measures, infrastructure failures, third-party dependencies, network problems and events beyond reasonable control may cause interruptions.

2.11 Intellectual Property

All software, source and object code, architecture, interfaces, designs, documentation, trademarks, service marks, methodologies and other platform intellectual property belong to Deeplectual or its licensors. Except for the limited license expressly granted, no intellectual-property right is transferred.

2.12 Confidentiality

Each party shall protect confidential information received from the other using reasonable safeguards and shall disclose it only to personnel and service providers with a legitimate need to know and appropriate confidentiality obligations. Customer Data will be handled according to the Privacy Policy and applicable customer agreement.

2.13 Warranties and Liability

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Deeplectual does not guarantee that the Services or AI outputs will be accurate, complete, uninterrupted or fit for every purpose. Deeplectual will not be liable for indirect, incidental, special, punitive or consequential damages to the extent permitted by law. Any aggregate liability cap should be specified in the applicable commercial agreement and reviewed by counsel before publication.

2.14 Indemnification

To the extent permitted by applicable law and subject to the applicable agreement, the customer shall indemnify Deeplectual against third-party claims arising from unlawful Customer Data, material violation of these Terms, unauthorized use of the Services or infringement caused by customer-supplied materials.

2.15 Suspension and Termination

Deeplectual may suspend access where reasonably necessary to protect security, prevent abuse, address a material breach, comply with law or protect the Services and users. Upon termination, access rights cease and Customer Data will be handled according to applicable retention and deletion provisions. Clauses intended by their nature to survive termination shall continue.

2.16 Governing Law and Disputes

These Terms shall be governed by the laws of India. The Company should specify the agreed exclusive jurisdiction of courts and, if desired, an arbitration mechanism and seat in the final legal version. If a provision is held invalid or unenforceable, the remaining provisions will remain effective.

2.17 Changes

Deeplectual may update these Terms when necessary to reflect changes to the Services, law or business practices. Material changes may be communicated through the website, application or other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
